New Mexico Sends No Yearly Bill, Which Makes the Agent Invoice the Budget

The problem is which one applies to a customer. New Mexico wants a named agent for as long as your entity stays on the state's record, so this is a subscription rather than a purchase. Why That Renewal Weighs More Here Than Elsewhere

Now the arithmetic changes shape. Most states put two or three recurring lines on an LLC's ledger: a report fee, occasionally a franchise tax, and the agent. New Mexico puts one. The state's Limited Liability Company Act contains no periodic-report provision whatsoever, so an LLC files no annual report, no biennial report, and owes the Secretary of State no recurring charge of any kind. Keeping an agent and registered office on file is the complete list of what the state asks of you year after year.

A ledger with one line on it does something unusual to a vendor's markup. In a state that bills a $300 franchise tax, a hundred dollars of price difference on agent service is a rounding error tucked inside a bigger annual number. There is no bigger number here to tuck it inside. The agent invoice is not a portion of what your New Mexico LLC costs to maintain. It is one hundred percent of it, which means the rate you agree to is the whole answer.

Read the bottom row as what it is. Four hundred dollars is nothing much spread across ten years of franchise taxes and report fees. Spread across a compliance obligation that consists of exactly one item, it is nine hundred dollars of pure difference on the only thing New Mexico charges you for.

How New Mexico Takes ZenBusiness Off Your Record

The instrument is a Statement of Change of Registered Office or Registered Agent, or Both, authorized by NMSA 1978, § 53-19-5(B). One statement handles either half of that title or both halves together.

Do not go hunting for a downloadable PDF, because none exists. New Mexico assigns no numbers to this filing and accepts no paper for business applications. Submission runs through the enterprise portal at enterprise.sos.nm.gov, where the Business Services Division picks it up. The statutory fee for an LLC is $20, paid by card in the portal, plus any card processing fee the system adds at the payment screen.

Sequence matters more than speed. The statement asks you to name an incoming agent; it has no box for leaving the line empty, and New Mexico expects the office to be continuously occupied. So the successor is engaged first, the statement names that successor, and the appointment transfers in one motion with no interval where nobody is listed.
